These terms explain how our website and services may be used, and outline the responsibilities of both parties.

Legal Terms

33 Designers is a trading name of DRP2 Ltd, a company registered in England and Wales (company number: 15445334). All contracts entered into under the 33 Designers brand are legally contracted with DRP2 Ltd.
For the purposes of these terms, “33 Designers”, “we”, “us” or “our” refer to DRP2 Ltd trading as 33 Designers.
1. Website Terms of Use
1.1 Introduction
These Website Terms of Use govern access to and use of the 33 Designers website (the “Website”).
By accessing or using the Website, you agree to comply with these Terms. If you do not agree, you must not use the Website.
These Website Terms govern the Website only. Paid services are governed separately by the Master Services Terms below.
1.2 Business Use Only
The Website is intended for business users. By using it, you confirm that you are acting in a business capacity and have the authority to enter into agreements on behalf of your organisation.
1.3 Permitted Use
You may use the Website solely for lawful purposes related to learning about or engaging 33 Designers’ services.
You must not:
• Use the Website in breach of applicable law or regulation
• Attempt to gain unauthorised access to systems or servers
• Introduce malicious code or disrupt functionality
• Copy, reproduce or distribute Website content without permission
• Use automated systems to scrape or extract data
1.4 Intellectual Property
All Website content, including branding, text, graphics and design, is owned by or licensed to 33 Designers and is protected by intellectual property laws.
No rights are granted except as expressly stated.
1.5 Disclaimer
The Website is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted access, accuracy, or completeness.
Website content is for general information only and does not constitute a binding commercial offer.
1.6 Limitation of Liability
To the fullest extent permitted by law, 33 Designers shall not be liable for indirect or consequential loss arising from Website use.
Nothing excludes liability that cannot lawfully be excluded.
1.7 Governing Law
These Website Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
2. Master Services Terms
These Master Services Terms govern all paid services provided under the 33 Designers brand. They apply together with the applicable Order Form.
2.1 Services and Scope
33 Designers provides subscription-based design execution services for B2B organisations.
Services include:
• Brochures, datasheets and fact sheets
• Sales decks and distributor materials
• Layout updates and localisation
• Trade show and campaign assets
• Landing pages and microsites
33 Designers does not provide brand strategy, messaging development, copywriting, legal approvals, governance management, Digital Asset Management infrastructure, core website builds, e-commerce systems or product UI/UX design.
We may decline or re-scope requests that fall outside the agreed scope.
The Client remains responsible for content accuracy, compliance, approvals, storage and distribution.
The Services do not guarantee specific marketing outcomes, revenue performance, or business results.
2.2 Delivery Lane Model
The primary unit of capacity is a Delivery Lane.
Each Delivery Lane includes:
• One active task at a time
• Unlimited backlog
• One Delivery Lane Owner
• Up to three Additional Reviewers
• Isolated, non-shared capacity
Delivery Lanes operate independently. Additional throughput requires additional Delivery Lanes.
Typical turnaround times are indicative only and are not guaranteed service levels.
Subscription fees are payable for reserved capacity and are not contingent on utilisation or task volume.
2.3 Governance
Each Delivery Lane must have one Delivery Lane Owner who:
• Sets task priority
• Acts as decision-maker
• Approves work
Additional Reviewers may provide feedback but cannot alter priority.
2.4 Task Management
Tasks must be clearly outcome-defined before work begins. We may divide larger work into sub-tasks.
Only one task per Delivery Lane may be active at any time.
Work pauses while awaiting Client feedback. Idle capacity during review periods does not constitute service failure.
2.5 Service Availability
33 Designers operates during standard UK business hours, being 09:00 to 17:00 (UK time), Monday to Friday, excluding public holidays in England and Wales (“Business Days”).
Work submitted outside Business Days or Business Hours will be treated as received on the next Business Day.
Nothing in these Terms creates a guaranteed response time or service level agreement unless expressly agreed in writing.
2.6 Fees and Billing
All commercial terms are defined in the applicable Order Form.
Subscription fees are billed monthly in advance on a recurring basis until terminated.
By entering into an Order Form, the Client authorises recurring monthly charges for the agreed number of Delivery Lanes using the selected payment method.
Billing occurs on or around the same calendar day each month corresponding to the subscription start date, unless otherwise agreed.
Fees are exclusive of VAT.
Subscription fees are non-refundable once a billing period has commenced, except as required by law.
Refunds are not provided for:
• Partial use
• Failure to utilise capacity
• Mid-cycle termination
Cancellation takes effect at the end of the applicable billing period following valid written notice. Email us at notice@33designers.co.
2.7 Pausing Policy
Pausing operates on a calendar-month basis.
Pause requests:
• Must be submitted in writing (notice@33designers.co) before the first day of the intended paused month
• Apply in full calendar months only
• Suspend billing during the paused month
• Suspend delivery during the paused month
• Freeze backlog during the paused month
Where no valid pause request is received before month start, the subscription remains active and billable.
Subscriptions automatically reactivate on the first day of the following month unless another pause request is submitted.
There is no indefinite dormancy.
For fixed-term commitments, the contract term is extended by the paused months.
Mid-month pause or reinstatement results in full-month billing.
2.8 Intellectual Property
Ownership of final approved deliverables transfers to the Client upon full payment of all applicable fees.
No intellectual property rights transfer until payment is complete.
33 Designers retains ownership of methodologies, processes, templates and pre-existing materials.
We may display non-confidential work in our portfolio unless restricted by a written agreement.
2.9 Confidentiality
Each party shall keep confidential information secure and use it solely for the purposes of performing this Agreement.
2.10 Subcontracting
33 Designers may use subcontractors or freelance contributors to deliver the Services while remaining responsible for overall performance.
2.11 Limitation of Liability
Nothing excludes liability that cannot lawfully be excluded.
Subject to this, total aggregate liability shall not exceed the fees paid in the three months preceding the claim.
We are not liable for indirect, consequential or special loss, including loss of profit, goodwill or anticipated savings.
2.12 Assignment
33 Designers may assign or transfer this Agreement as part of restructuring or incorporation, provided service levels are not materially reduced.
The Client may not assign without written consent.
2.13 Entire Agreement
These Terms and the Order Form constitute the entire agreement and supersede prior discussions or representations.
2.14 Force Majeure
We are not liable for failure or delay caused by events beyond our reasonable control.
2.15 Severability
If any provision is unenforceable, the remainder remains valid.
2.16 Governing Law
These Terms are governed by the laws of England and Wales.
3. Privacy Policy
3.1 Introduction
33 Designers processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
3.2 Data We Collect
We may collect:
• Business contact details
• Company information
• Billing data
• Communications
• Website usage data (IP address, analytics)
3.3 How We Use Data
We process personal data to:
• Provide and manage services
• Respond to enquiries
• Administer billing and contracts
• Improve our Website
• Comply with legal obligations
Legal bases include contractual necessity, legitimate interests and legal obligation.
3.4 Data Sharing
We may share data with trusted service providers (e.g. payment processors, hosting providers) where necessary to operate our business.
We do not sell personal data.
3.5 Data Retention
We retain personal data only as long as necessary for contractual and legal purposes. Client records are typically retained for six years for accounting compliance.
3.6 Individual Rights
Individuals have rights under UK GDPR including access, rectification, erasure and restriction of processing.
